LEAD PURCHASE AGREEMENT

1. LEAD SALES TERMS

1.1 Service Description

Anderson SC Home Services Directory ("Company") provides qualified customer leads to licensed contractors ("Contractor") on a pay-per-lead basis. No monthly fees, contracts, or minimum purchases required.

1.2 Contractor Signup Packages

One-time setup fees based on access level:

BASIC TIER - $99

Profile creation and verification

Access to Basic Service Leads only ($20-$35 range)

Standard lead delivery

Basic listing placement

STANDARD TIER - $199

Enhanced profile with photos/portfolio

Access to Basic + Standard Leads ($20-$150 range)

Priority lead delivery

Enhanced listing placement

PREMIUM TIER - $299

Full premium profile with showcase features

Access to ALL lead types ($20-$750 range)

First priority on high-value leads

1.3 Lead Distribution Policy

Each customer lead is distributed to a maximum of three (3) qualified contractors who match the service requirements and location preferences. If fewer than three qualified contractors are available, leads may be distributed to available contractors only.

1.4 Lead Pricing Structure

1.6 Lead Definition

A qualified lead includes:

Customer name and verified phone number

Detailed project description and timeline

Property address and contact preferences

Budget range (when provided by customer)

Contact preferences (call/text/email)

2. PAYMENT TERMS

2.1 Payment Schedule

Payment due within 7 days of lead delivery

Accepted methods: Credit card, ACH, check

Late payment fee: $25 after 10 days past due

No setup fees beyond tier signup cost

2.2 High-Value Project Deposits

For projects valued at $50,000+, deposits required:

Projects $50K - $100K: $50 deposit before lead delivery
Projects $100K+: $250 deposit before lead delivery
Commercial Projects: $500 deposit before lead delivery

Deposit Terms:

Deposit applied toward lead cost upon payment

Forfeited if contractor violates payment terms

Balance due within 7 days of lead delivery

2.3 Volume Discounts

Available exclusively to Premium Tier contractors:

Buy 10 leads: Get 1 FREE lead

Buy 25 leads: Get 3 FREE leads

Buy 50 leads: Get 10% discount on entire purchase

Weekly purchases (4+ consecutive weeks): 5% ongoing discount

Quarterly purchases of 50+ leads: Additional 5% discount next quarter

Volume Discount Terms:

Available to Premium Tier contractors only

Basic and Standard tier contractors pay standard per-lead rates

Free leads provided from same pricing category

Discounts reset each calendar quarter

Cannot be combined unless specified

3. PREMIUM AI SERVICES (OPTIONAL)

3.1 Premium AI Package - $97/month

Eligibility: Premium Tier contractors only (requires $299 signup)

Services Include:

AI phone answering service for missed calls

Advanced SMS campaign automation

Detailed analytics and lead conversion tracking

Automated review responses

Priority customer support

3.2 Premium AI Terms

Monthly billing in advance

Cancel anytime with 30-day notice

Requires active Premium Tier status

Works in addition to basic lead automation

4. LEAD QUALITY & GUARANTEES

4.1 Lead Verification Process

Company verifies each lead contains:

Real customer contact information

Genuine service request

Confirmed project details

Location within contractor's service area

Distribution to maximum 3 contractors

4.2 No Refund Policy

NO REFUNDS provided for delivered leads. Contractor acknowledges:

Customer contact does not guarantee project award

Lead quality varies based on customer commitment

Company provides contact information only

Contractor responsible for sales conversion

4.3 Lead Replacement Guarantee

Company will provide replacement lead if:

Phone number is disconnected/invalid

Customer denies making inquiry

Lead falls outside contractor's service area

Duplicate lead delivered within 30 days

5. CONTRACTOR OBLIGATIONS

5.1 Professional Requirements

Contractor must maintain:

Current South Carolina business license

General liability insurance ($500,000 minimum)

Professional conduct in all customer interactions

Response to customer inquiries within 24 hours

Active contractor tier subscription

Updated profile and contact information

5.2 Lead Usage Rules

Contractor agrees to:

Contact customer within 48 hours of lead receipt

Use lead information solely for quoted project

NOT share or resell lead information

Maintain customer information confidentiality

Provide professional service

5.3 Fee Disclosure Requirements

Contractor must:

Clearly disclose any estimate, consultation, or design fees during initial customer contact

Specify fee amounts and payment terms before scheduling appointments

Honor all fee disclosures made to customers

Maintain transparency about all fee policies

5.4 Performance Standards

Company tracks performance metrics including:

Lead response times (target: within 24 hours)

Customer review scores (target: 4.0+ average)

Lead conversion rates

Professional conduct compliance

Fee disclosure compliance

Performance Standards:

Response time over 48 hours: Warning

Customer complaints over 20%: Review process

Review score below 3.0: Improvement plan required

Repeated violations: Network removal

5.5 Prohibited Activities

Contractor shall NOT:

Request refunds for contacted customers

Use leads for general marketing purposes

Share lead information with competitors

Engage in deceptive practices

Misrepresent estimate fee policies

Fail to disclose consultation fees upfront

6. DATA & PRIVACY

6.1 Data Retention

Active contractor data retained during subscription

Inactive contractor data deleted after 2 years

Performance data retained for 2 years after last activity

Lead records retained for quality assurance purposes

AI-collected customer data (calls, messages, review interactions) retained for 90 days after contractor service cancellation

6.2 Privacy Compliance

Contractor agrees to:

Use customer information only for intended project purposes

Maintain confidentiality of customer data

Not share customer information with third parties

Report data security incidents immediately

Obtain appropriate customer consent for AI phone answering and automated review responses

Inform customers when AI services are handling their communications

7. LIABILITY LIMITATIONS

7.1 Company Liability Limits

Company's total liability limited to:

Maximum: Cost of specific lead in question

NO liability for lost profits or business opportunities

NO responsibility for contractor-customer disputes

NO guarantee of project awards

7.2 Disclaimer of Warranties

Company provides leads "AS IS" with no warranties regarding:

Customer creditworthiness or ability to pay

Project completion likelihood

Customer satisfaction with contractor services

Lead conversion rates or business outcomes

7.3 Independent Contractor Relationship

Contractor operates as independent business

Company does not supervise contractor work

Customer agreements are between contractor and customer only

Company serves as lead referral service only

8. INDEMNIFICATION

Contractor agrees to hold Company harmless from claims arising from:

Contractor's work performance or services

Disputes between contractor and customers

Contractor's licensing, insurance, or regulatory violations

Any breach of these terms

Estimate fee disputes or disclosure violations

9. DISPUTE RESOLUTION

9.1 Governing Law

These terms governed by South Carolina law. Disputes resolved in Anderson County, SC courts.

9.2 Performance Disputes

Performance ranking disputes:

Direct resolution through performance review process

Formal appeal within 30 days of notification

Final disputes resolved in Anderson County courts

9.3 Mediation

Before litigation, parties agree to attempt mediation through Anderson County mediation services.

10. GENERAL PROVISIONS

10.1 Modifications

Terms may only be modified in writing by Company. Continued purchase of leads constitutes acceptance of current terms.

10.2 Termination

Either party may terminate at any time. Outstanding payment obligations survive termination.

10.3 Entire Agreement

These terms constitute the complete agreement between parties.

10.4 Force Majeure

Neither party liable for delays due to circumstances beyond reasonable control including natural disasters, government actions, or major infrastructure failures.

CONTRACTOR ACKNOWLEDGMENT

By submitting this form and purchasing leads, contractor acknowledges understanding and agreement to all terms above, including:

Payment of required contractor signup fee for chosen tier

Agreement to pay for all leads delivered within 7 days

Understanding that NO REFUNDS are provided for delivered leads

Maintenance of required licensing and insurance

Commitment to contact customers promptly and professionally

Understanding of deposit requirements for high-value projects

Understanding that volume discounts are exclusive to Premium Tier

Understanding that lead access is limited to contracted tier level

Understanding that basic automation is included with all purchases

Understanding that Premium AI services require separate monthly fee and Premium Tier status

Agreement to disclose estimate/consultation fees during initial customer contact

Understanding that performance will be tracked for listing placement

Acknowledgment that leads are distributed to maximum 3 contractors

Agreement to data retention and privacy compliance requirements

Electronic Signature Required

These terms are effective immediately and supersede all previous agreements.
